Belle’s practice spans both corporate transactional and advisory work, with a focus on regulated public fundraisings (including initial public offerings (IPOs)/backdoor listings) and both private and public mergers and acquisitions.
A substantial part of Belle’s work involves helping clients “do deals”, primarily in the form of buying and selling businesses, and raising money through the issue of equity or debt instruments. This requires Belle to have a deep understanding of Australian company laws, takeovers laws, fundraising laws and the Australian Securities Exchange (ASX) Listing Rules.
Belle also regularly advises on the governance and affairs of listed and unlisted public companies under the Corporations Act and the ASX Listing Rules, in particular, issues concerning compliance, continuous disclosure, corporate governance, executive remuneration (including termination benefits and related party benefits), directors’ duties, and responding to shareholder activism.
Belle’s experience in advising offshore clients in relation to their Australia operations and making investments in Australian assets (including dealings with the Foreign Investment Review Board). She is fluent in Chinese (Mandarin) in its written and spoken form.
Phoenix Bridge Group — advised Phoenix Bridge Group on its debut investment in Australia, having acquired ASX-listed mining junior, Anchor Resources Limited, by way of an all-cash, off-market takeover bid. The Phoenix Bridge Group is a diversified investment group of companies, headquartered in China.
Nexon Asia Pacific — regularly work with Nexon Asia Pacific, a leading Australian end-to-end managed IT services provider, and its private equity investor, EQT Mid Market Asia, in relation to Nexon’s corporate transactions and commercial contracts as the company continues to enhance and develop its IT services offering, grow its client portfolio, seek value accretive acquisitions and strengthen the scalability of its platform.
Crosspoint Telecommunications — advised Australian IT services provider, Crosspoint Telecommunications, in relation to its corporate transactions and affairs, including notably, its strategic acquisition of Australian IT services firm, Allcom Networks, from ASX-listed telco, PS&C Group in 2018. Allcom is a strategic investment for Crosspoint to grow its managed service practice for government, education and corporate customers in the Australian market, with the advantage of being able to deliver such services globally through Crosspoint’s international operations.
CathRx — acted for CathRx, an Australian public medical device company, since 2015. Notably, I have advised CathRx on a number of highly successful public capital raisings to raise a total of approximately $16 million. This key objective of those issues was to fund the final stage development and commercialisation plans of the company with respect to its new range of traditional and novel heart catheters.
Lawyers on Demand acquisition of lexvoco to boost market in Australia — assisted international firm Lawyers on Demand to complete its acquisition of fast-growing Australian start-up, lexvoco, to further enhance its position in the Australian innovative legal solutions market. This deal bolsters LOD’s expansion by adding new services, geographies and technology to their existing offering to lawyers, consultants and clients.
High Peak Royalties Limited — advised High Peak Royalties Limited since it listed on ASX by way of backdoor listing in 2014. Since then, I have assisted the company with both its capital raising and M&A transactions, including most recently its acquisition of Planet Gas USA.
