Bega Cheese — acted for Bega Cheese on its $460 million acquisition of Mondelēz International’s Australia and New Zealand grocery and cheese business (including Vegemite).

Bega Cheese Limited — advised Bega Cheese on its $400 million capital raising in 2020 by way of institutional placement and entitlement offer, its $250 million capital raising in 2018 by way of institutional placement and share purchase plan, and its $160 million capital raising in 2017.

Bioxyne — acted for Bioxyne, an ASX listed company with a focus on clinically effective health and wellness products, on its acquisition of Breathe Life Sciences which operates in Australia, UK, Japan and Europe. Also advised Bioxyne on the shareholder approvals required for the acquisition.

Bluestone Group — advised diversified financial services company Bluestone Group on all Australian legal aspects of the sale of a significant stake in the company to private equity company LDC, which is part of the Lloyds Banking Group in the UK. Subsequently advised Bluestone Group on the sale of its APAC business to US private equity group, Cerberus Capital Management.

Cision — acted for global communications intelligence provider Cision on its acquisition of Streem.

Class Limited — advised fintech company Class Limited on its successful IPO and ASX listing. Class’s IPO involved the issue of new shares and a partial sell-down of existing shares by the company’s shareholders. Also acted for Class on a number of acquisitions post-listing.

The Coca-Cola Company (TCCC) — acted for TCCC on its joint acquisition, together with its local bottler Coca-Cola Amatil, of a 45% equity stake in the Made Group. Made Group is an independent beverage manufacturer that owns popular brands Cocobella, Rokeby Farms, Impressed juices and NutrientWater, and acquisition of Organic & Raw Trading Co, manufacturer of the MOJO brand of kombucha.

Evolution Gaming Group AB — advised Evolution, listed on Nasdaq Stockholm, on the Australian legal aspects of its acquisition of leading online games developer Big Time Gaming, for a total consideration of up to €450 million.

Kyckr — advised ASX-listed B2B information services company Kyckr on its acquisition by RealWise by scheme of arrangement.

NRMA — advised NRMA over a number of years, including on its director election and membership matters, corporate governance structure, and redrafting of its corporate constitution.

NRMA — acted for NRMA on its acquisition of Freycinet Lodge, Cradle Mountain Hotel and Gordon River Cruises in Tasmania.

SunRice — advised SunRice on its move from a listing on the NSX to an ASX listing, which involved a novel structure and quotation of non-voting shares on the ASX.

TruScreen — advised TruScreen, a medical device company which is listed on the NZX, on its listing on the ASX as a Foreign Exempt Listing.
