Bega Cheese Limited - syndicated and common terms facilities arrangements

advised Bega on the arrangements that have been the source of debt financing for all its major mergers and acquisitions activities. This included advising on new or expanded debt facilities for the purposes of Bega’s:

  • $534 million acquisition of Lion Dairy & Drinks in 2020.
  • $250 million acquisition of Saputo’ Koroit dairy processing facility.
  • $460 million acquisition of various assets from Mondelēz Australia including the VEGEMITE and peanut butter brands.
Class Limited – acquisition and corporate financing facilities

advised Class on multiple facilities in connection with its acquisitions of a series of bolt-on businesses as part of its growth strategy.

Duxton Orchards – secured mezzanine and hybrid debt facilities

advised agricultural private equity investor Duxton Orchards on facilities made available to unlisted public company Rivercorp Land & Water to facilitate restructuring and growth.

First Class Capital – secured lending facilities

advised non-bank lender and private equity investor FC Capital on a variety of secured lending facilities offered to FC Capital’s borrower clients.

LEDA Group – acquisition and construction financing

acted on the provision of acquisition and construction financing for multiple residential development sites in Sydney’s North West.

Xref Limited – refinancing of a secured multi-option facility agreement

advised on refinancing its revolving and non-revolving loan facilities with a US-based lender and obtaining increased growth funding.
