Addisons advised SHAPE Australia Corporation Limited (ASX: SHA) on its acquisition of the business and assets of national retail and fitout and facilities maintenance specialist, Arden Group, for up to $32 million.
The acquisition of Arden Group expands SHAPE’s facilities maintenance and multi-site project delivery capabilities, especially in the fuel and retail sectors. The transaction completed in December 2025.
SHAPE is a market leader as a national fitout and construction services specialist. Addisons also advised SHAPE on its ASX listing and float in 2021.
Corporate partner Kieren Parker led the Addisons team, assisted by corporate group Senior Associate Max Jamieson, with involvement from across the firm, including its construction, property, competition and employment practice groups.
Kieren said, “Congratulations to SHAPE. This transaction had a long, patient gestation but then completed under a very tight timetable – and SHAPE and its advisors demonstrated real teamwork in getting this over the line. I’m delighted for SHAPE. Its acquisition of the Arden Group business meaningfully demonstrates its ability to execute on its growth and diversification strategy.”
SHAPE CEO Peter Marix-Evans said, “The Addisons team provided outstanding transaction advisory support in our acquisition of Arden Group, marking a key milestone in our growth and diversification strategy. They demonstrated a strong understanding of our objectives and added value well beyond legal execution. The team’s responsiveness, pragmatism and ability to anticipate issues were critical to achieving a successful outcome, and they worked seamlessly with the entire deal team under some very tight timeframes.”
