Dale provides corporate and commercial advice to his Australian and international clients who include both public and private companies, co-operatives and agencies.

He guides them through key transactions including mergers and acquisitions, joint venture projects, equity capital markets, as well as their corporate governance and commercial contracting. He also acts as external general counsel for a number of clients.

Dale is known for his broad business and corporate law expertise. His clients value his pragmatic and approachable style, clear communication and commercial approach. They also appreciate his international perspective, gained practising law in Tokyo, where he acted for some of Japan’s largest trading houses on a variety of challenging global transactions.

Dale also has a focus on the water sector with significant expertise in water law, markets and trading, and drafting and negotiating complex commercial contracts for the water industry.

advised on numerous mergers and acquisitions over 15+ years, including ASG’s acquisition of a 75% interest in Linc Personnel, a labour hire and recruitment services company supporting the offshore oil and gas industry, and ASG’s IPO which raised $98 million

advised on mergers and acquisitions for over a decade, including the sale of the newswire and AAP’s media monitoring business to iSentia (formerly Media Monitors) and obtaining competition clearances in Australia and overseas.

advised Bega Cheese on its takeover of Peanut Company of Australia Limited.

advised on complex long-term agreements for the manufacture and supply of products, including infant formula and lactoferrin.

advised on overhauling the rules of the co-operative for compliance with the Co-operatives National Law. Also advising on corporate governance issues, such as board charters, codes of conduct, the duties of directors and officers, and the management of directors’ conflicts of interest.

Irrigation infrastructure operators

advised various farmer-owned irrigation businesses, including Coleambally Irrigation Co-operative, Jemalong Irrigation, Murray Irrigation, Murrumbidgee Irrigation and Western Murray Irrigation, on business matters, including corporate governance issues, commercial/customer contracts, infrastructure and major projects, property issues, environment and planning issues, regulatory investigations, and water policy, law and regulation.

Murray Goulburn

advised a bidder on the $1.3 billion sale of Murray Goulburn’s dairy processing business.

Private Irrigation Infrastructure Operators Program

advised Murrumbidgee Irrigation, Murray Irrigation and Coleambally Irrigation Co-operative in relation to $565 million of water infrastructure projects under the Australian Government’s $893 million Private Irrigation Infrastructure Operators Program in New South Wales.

World Bank

advised on Australian aspects of a global study on water under the World Bank’s Enabling the Business of Agriculture project. The aim was to provide national policy makers in other countries with comparative information to design laws and regulations that strengthen sustainable water resources management.
