CC’s practice involves working closely with both publicly listed and private companies on a wide range of corporate and commercial matters, with a focus on mergers and acquisitions, capital raisings and restructurings.
CC also regularly advises clients on corporate governance and compliance matters such as continuous disclosure, directors’ duties, executive remuneration, as well as general commercial law matters and contract negotiation and drafting.
Since joining Addisons in 2011, CC has acted for Australian and international clients from a broad range of industries, including agriculture and agribusinesses, food and beverages and other FMCG, telecommunications, technology (including start-ups) and financial services.
CC is also experienced in advising offshore clients in relation to establishing corporate and operational presence in Australia and investing in Australian assets. She is fluent in Mandarin.
part of the team that advised Bega Cheese on its $460 million acquisition of Mondelēz International’s Australia and New Zealand grocery and cheese business, which included the iconic Vegemite brand.
advised on a series of equity and debt capital raisings, including its $250 million capital raising in 2018 by way of institutional placement and share purchase plan, and a $160 million capital raising in 2017.
advised on its $10 million acquisition of Peanut Company of Australia, Australia’s leading supplier of peanuts, which was effected by way of an initial placement followed by a takeover bid.
acted for Class on a number of acquisitions in the fintech space.
part of the team that advised TCCC on its joint acquisition (together with its local bottler, Coca-Cola Amatil) of a 45% equity stake in the Made Group, which is an independent beverage manufacturer based in Melbourne that owns popular brands Cocobella, Rokeby Farms, Impressed juices and NutrientWater.
advising ASX listed companies on their corporate governance practices, including in relation to directors’ duties, continuous disclosure, securities trading and executive remuneration and employee incentive schemes. Also assist these clients in the formulation of corporate governance policies and procedures, and the preparation of annual corporate governance statements and reporting to the ASX.
advised Ricegrowers Limited (trading as SunRice) on its capital restructure reviews and the subsequent migration of its listing from the National Stock Exchange (NSX) to the Australian Securities Exchange (ASX), and the quotation of its non-voting B Class Shares on the ASX.
