A good corporate and commercial lawyer doesn’t just need a finely-honed attention to detail; they also need the ability to focus this attention on what matters most to clients and their businesses. This is the principle that guides me in my everyday work.
Since joining Addisons in 2012, I have acted for Australian and international clients on a diverse range of corporate and commercial matters, including mergers and acquisitions, capital raising, banking and finance, financial services regulation, and public and private fundraising.
My work on a daily basis includes advising clients on significant investments and acquisitions, establishing fund and trust structures for clients’ investment and business activities, acting for borrowers and lenders on debt financing matters and conducting general reviews of clients’ ongoing contractual arrangements.
My banking and finance experience includes acting for borrowers and senior and mezzanine non-bank lenders on working capital and acquisition financing, including term debt, revolving and invoice financing facilities, as well as negotiating and advising in relation to subordination, priority and intercreditor arrangements in secured lending transactions. I also have experience and expertise in a number of specialised technical areas such as crowd-sourced equity funding (crowdfunding), foreign investment regulation, personal property securities and franchising. I have written extensively on crowdfunding in Australia, publishing articles about crowdfunding and its implications for start-ups and small businesses in the Law Society Journal and online.
Macquarie Infrastructure and Real Assets (MIRA) — advised Macquarie Group’s MIRA group on multiple, high-profile acquisitions by its agricultural investment funds. Most recently, advised MIRA on the largest Australian agricultural transaction since 2016. That was a complex, interconditional transaction that involved Macquarie funds acquiring a portfolio of pastoral and cropping properties across Australia from the Qatar Investment Authority.
Bega Cheese — this long time client of Addisons has been extremely active in building its business in recent years. The Addisons team has negotiated and secured the debt financing for Bega Cheese’s major acquisitions, including its landmark 2017 acquisition of the Vegemite and other spreadables business from Mondelez, as well as its operational financing requirements.
SprintQuip — UK acquisition financing – advised SprintQuip in relation to an acquisition facility obtained from a big four bank to finance the purchase of a key target in the United Kingdom and for general working capital purposes. This transaction involved dealing and negotiating with international counterparties and their advisers, significant multi-jurisdictional complexity and a challenging timeframe.
Anacacia Capital — Acted for Anacacia Capital – Australia’s leading private equity firm focusing on SMEs - in respect of its recent investments in LEDified, a provider of energy-efficient, high tech light-emitting diode (LED) lighting and Force Fire Group, a leading supplier of fire safety systems to the construction industry. These transactions are more than just acquisitions. Anacacia Capital’s approach to building long-term partnerships with its portfolio companies, their founders and management means bringing a collaborative approach to documenting the relationships whilst ensuring its interests are properly protected.
Trōv — Implementation of key strategic alliance – We acted for US insurance technology company Trōv in relation to the establishment of a key strategic alliance relationship with a leading Australian insurer. This matter involved complex intellectual property and financial services regulatory issues.
