Equity Capital Markets Bulletin

In our latest ECM Bulletin, we bring you up to date with some of the COVID-19 pandemic relief in place that touches on equity raisings and listed company requirements in this period.

We also look at ASIC’s:

  • proposed restriction on certain “stub equity” offers to retail investors in a takeover
  • reduction of red tape for IPOs in relation to voluntary escrow arrangements and pre-prospectus communications.

We also discuss ASX’s recent changes to 2 of its Guidance Notes:

  • GN 12 (Significant Changes to Activities) which will affect back-door listings
  • GN 19 (Performance Shares).

Finally we list out some relevant changes that can be made to a listed company’s constitution to keep it up to date with ASX requirements and developments in technology and direct voting.
